1. Acceptance of Terms

By accessing or using BarrierX ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

BarrierX ("we," "our," or "us") provides a CCO-as-a-Service platform that offers real-time insights, automated coaching, and data-driven results for sales teams. These Terms govern your use of our Service.

2. Description of Service

BarrierX is a cloud-based platform that:

  • Analyzes sales deals and calculates risk scores using AI technology
  • Provides automated coaching and recommendations
  • Integrates with third-party services (HubSpot, Slack, Gmail, etc.) to sync and process data
  • Generates insights, reports, and actionable recommendations for sales teams
  • Facilitates communication through email generation and management features

3. User Accounts and Registration

To use BarrierX, you must:

  • Create an account with accurate and complete information
  • Maintain the security of your account credentials
  • Be at least 18 years old or have the legal capacity to enter into contracts
  • Be authorized to bind your organization to these Terms if you are creating an account on behalf of an organization
  • Notify us immediately of any unauthorized access to your account

You are responsible for all activities that occur under your account, whether authorized by you or not.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Violate or infringe upon the rights of others, including intellectual property rights
  • Transmit any malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Share your account credentials with others or allow unauthorized access
  • Use the Service to send spam, unsolicited messages, or harass others
  • Collect or harvest information about other users without their consent

5. Third-Party Integrations

BarrierX integrates with various third-party services, including but not limited to HubSpot, Slack, and Gmail. When you connect these services:

  • You grant us permission to access and use data from these services as necessary to provide our Service
  • You represent that you have the authority to grant such permissions
  • You acknowledge that your use of third-party services is also governed by their respective terms of service and privacy policies
  • You can revoke access to any integration at any time through your account settings or the third-party service's settings

5.1 Gmail Integration

When you connect Gmail:

  • You authorize BarrierX to access your Gmail account through Google OAuth 2.0
  • We will use Gmail API to read and send emails on your behalf as part of our Service
  • You understand that we may generate and send emails as part of automated coaching and recommendations
  • You are responsible for ensuring that any emails sent through our Service comply with applicable laws and regulations (e.g., CAN-SPAM Act, GDPR)
  • You can revoke Gmail access at any time through Google Account settings or our platform
  • Your use of Gmail is subject to Google's Terms of Service and Privacy Policy

6. Intellectual Property

The Service, including its original content, features, functionality, design, and software, is owned by BarrierX and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of your data and content that you upload or provide to the Service. By using the Service, you grant BarrierX a non-exclusive, worldwide, royalty-free license to use, store, process, and display your data solely for the purpose of providing and improving the Service.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

7. AI and Automated Features

BarrierX uses artificial intelligence and machine learning to analyze data, calculate risk scores, generate recommendations, and create content (including emails). You acknowledge that:

  • AI-generated content may contain errors or inaccuracies
  • You are responsible for reviewing and verifying all AI-generated content before use
  • AI recommendations are suggestions and should not be the sole basis for business decisions
  • We do not guarantee the accuracy, completeness, or reliability of AI-generated content
  • You should exercise your own judgment and seek professional advice when appropriate

8. Payment and Subscription

If you subscribe to a paid plan:

  • You agree to pay all fees associated with your subscription
  • Fees are billed in advance on a recurring basis (monthly or annually) as specified in your plan
  • All fees are non-refundable unless otherwise stated or required by law
  • We reserve the right to change our pricing with 30 days' notice
  • If payment fails, we may suspend or terminate your access to the Service
  • You are responsible for any taxes applicable to your subscription

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

You are responsible for:

  • Ensuring that you have the right to provide any data you upload or share through the Service
  • Complying with applicable data protection laws when using the Service
  • Obtaining necessary consents before sharing personal data of others

10. Service Availability and Modifications

We strive to provide reliable and continuous access to the Service, but we do not guarantee:

  • That the Service will be available at all times or free from interruptions
  • That the Service will be error-free or secure
  • That defects will be corrected

We reserve the right to:

  • Modify, suspend, or discontinue the Service at any time with or without notice
  • Update features, functionality, or user interfaces
  • Perform maintenance that may temporarily interrupt service

11. Termination

You may terminate your account at any time through your account settings or by contacting us.

We may suspend or terminate your access to the Service immediately, without prior notice, if:

  • You violate these Terms
  • You fail to pay applicable fees
  • We suspect fraudulent or illegal activity
  • We are required to do so by law
  • We decide to discontinue the Service

Upon termination, your right to use the Service will cease immediately. We may delete your account and data, subject to our data retention policies and legal obligations.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF DATA OR CONTENT

We do not warrant that the Service will meet your requirements, be uninterrupted, secure, or error-free. We are not responsible for any loss or damage resulting from your use of the Service or reliance on any information provided through the Service.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BARRIERX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • COSTS OF SUBSTITUTE SERVICES
  • BUSINESS INTERRUPTION
  • PERSONAL INJURY OR PROPERTY DAMAGE

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

14. Indemnification

You agree to indemnify, defend, and hold harmless BarrierX, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Any content or data you provide through the Service

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BarrierX regarding the Service and supersede all prior agreements and understandings.
